Abstract

The central hypothesis of this article is the legal and political impossibility to neutralise the stronghold of Global Commercial Rights, which guard the interests of multinational corporations with private regulatory systems expressed in internal codes of conduct. This directive addresses "multinational corporation good practices" with reference to two corporate ethics aspects. One being the relationship with the society model and, as such, developed in an analytical plan with strong ideological connotations (as much from the viewpoint of values as from power relationships), the other refers to corporate practices and behaviours. The latter is directly linked with codes of conduct, which enable core standards to be explored, which limit voluntary and unilateral governance. The confrontation between the classic "hard" regulation of Global Commercial Rights and the "soft" and privatised nature of voluntary systems returns towards the analysis of power relationships between multinational corporations and social majorities
